1. Acceptance of Terms

By accessing or using the Caribbean Diagnostics website (caribbeandiagnostics.com) or any services provided by Caribbean Diagnostics Ltd. ("Company", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not access or use our services. These Terms apply to all visitors, users, customers, and business partners who access or use our services.

2. Description of Services

Caribbean Diagnostics Ltd. provides medical diagnostic equipment distribution, reagent supply, biomedical engineering services, technical support, and related services across 33 Caribbean territories. Our services include but are not limited to:

• Distribution of diagnostic instruments, reagents, and medical consumables from global vendors
• Biomedical engineering, instrument installation, and preventive maintenance
• Order processing and fulfilment via our online portal and QuickBooks integration
• Customer account management and invoicing services
• Technical sales support and application training

3. Eligibility

Our services are intended for use by licensed healthcare facilities, laboratories, hospitals, clinics, and authorized purchasers within the Caribbean region. By placing an order or using our services, you represent that you are authorized to purchase medical diagnostic equipment and supplies on behalf of your organization.

4. Account Registration

Certain features of our services may require you to create an account. You agree to provide accurate, current, and complete information during registration and to update such information as necessary. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

5. Orders and Payment

All orders placed through our services are subject to acceptance and availability. Prices are quoted in United States Dollars (USD) unless otherwise specified. Payment terms are Net 30 days from invoice date unless a different arrangement has been agreed in writing. We reserve the right to modify pricing at any time, though confirmed orders will be honoured at the quoted price. Shipping, customs duties, and import taxes are the responsibility of the buyer unless otherwise agreed.

6. Shipping and Delivery

Caribbean Diagnostics arranges shipment of products to destinations across the Caribbean. Delivery timelines are estimates and are subject to customs processing, carrier availability, and other factors beyond our control. Risk of loss transfers to the buyer upon delivery to the designated carrier. We are not responsible for delays caused by customs authorities, weather events, or other force majeure circumstances.

7. Returns and Warranties

Products are covered by their respective manufacturer warranties. Caribbean Diagnostics does not provide independent warranties beyond those offered by the original manufacturer. Returns must be authorized in advance and are subject to our return policy. Reagents and temperature-sensitive products may not be eligible for return due to cold-chain requirements. 8. Intellectual Property

All content on our website, including text, graphics, logos, images, and software, is the property of Caribbean Diagnostics Ltd. or its content suppliers and is protected by applicable intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any content without our prior written consent. All vendor and product trademarks remain the property of their respective owners.

9. Limitation of Liability

To the fullest extent permitted by law, Caribbean Diagnostics Ltd. shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of our services, including but not limited to loss of revenue, data, or business opportunities. Our total aggregate liability for any claim arising under these Terms shall not exceed the total amount paid by you to Caribbean Diagnostics in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless Caribbean Diagnostics Ltd., its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from your use of our services, your violation of these Terms, or your violation of any rights of a third party.

11. Privacy

12. Modifications to Terms

These Terms shall be governed by and construed in accordance with the laws of the Cayman Islands. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of the Cayman Islands. The parties agree to submit to the personal jurisdiction of such courts.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy and any written purchase agreements, constitute the entire agreement between you and Caribbean Diagnostics Ltd. regarding your use of our services. Any prior agreements, understandings, or representations are superseded by these Terms.
